Terms of Use Agreement

HY CITE provides the Member with the use of the HYCITE WEBSITES. The Member shall provide (1) all equipment necessary for its own Internet connection, including the computer and modem, and (2) facilitate the Member's access to the Internet, and (3) pay all charges related to such connection.

 

2. DISCLAIMER OF WARRANTIES

The Member agrees to indemnify and hold HY CITE, its parent companies, subsidiaries, affiliates, officers and employees harmless against any claim or demand, including reasonable fees and costs, made by any third party for cause or reason of the use of the Service by part of the Member, the breach of this Agreement, or the breach of the Member or other user of the Service using the Member's computer, of any intellectual property or any other right of any person or entity.

 

5. MODIFICATIONS AND INTERRUPTION OF THE SERVICE

HY CITE reserves the right to modify or suspend the Service with or without prior notice to the Member. HY CITE does not assume responsibility to the Member or any third party in the event that HY CITE exercises its right to modify or suspend the Service. The Member acknowledges and agrees that HY CITE does not guarantee continuous, uninterrupted or secure access to our website and that the operation of our website could be interfered with or adversely affected by numerous factors or circumstances beyond our control.

12. BOTNETS

HY CITE reserves the right, at its sole discretion, to terminate any account related to botnets and related activities. If a hostname is used as a command and control point for botnets, HY CITE reserves the right to direct the hostnames in question to a honeypot, loopback address, registry facility, or any other destination it deems appropriate.

 

13. OTHER CONDITIONS

If any provision of this Terms of Use Agreement is illegal, void or unenforceable for any reason, the other provisions (and any other partially applicable provision) will not be affected by it and will remain valid and enforceable to the maximum extent possible. You agree that such Agreement and any other agreements cited herein may be assigned by HY CITE, at our sole discretion, to a third party in the event of a merger or acquisition. This Terms of Use Agreement may not be superseded and shall apply in addition to any other written agreement between us in relation to your participation as a Member. The Member agrees that by accepting this Agreement, he or she is aware of the use and disclosure of his or her personally identifiable information and other practices that are described in our Privacy Policy Statement.
